Stephen M. Dowicz, is a retired Managing Member of Davidson Kempner Capital
Management (DKCM). Mr. Dowicz retired from DKCM as a managing member on 12/31/14.

Davidson Kempner Capital Management is a global institutional investment management
firm with approximately $25.4 billion in assets under management as of March 2015. The firm was founded in May 1983 by Marvin H. Davidson and is led by Thomas L. Kempner, Jr., who is currently Executive Managing Member. Davidson Kempner is headquartered in New York City, with additional offices in London and Hong Kong. As of March 2013, Davidson Kempner was ranked as the 12th largest hedge fund in the world.

Mr. Dowicz joined DKCM as Treasurer in May 1983 and became a Managing Member in
January 1986.  Mr. Dowicz managed the merger arbitrage and the convertible and volatility
arbitrage departments. Prior to DKCM, from 1980 to 1983, he was a General Partner and
Comptroller of Bedford Partners, a firm engaged primarily in risk arbitrage. He received an
M.B.A. from Pace University in May 1986 and a B.B.A. from Iona College in May 1979.

Mr. Dowicz is currently the sole member of LJM Group LLC, a NJ family office, and CT Spa
Group LLC.
